Contributor Agreement

The terms between you, as a contributor, and Splitbag Technology for commissions earned on builders' products.

1. Parties and scope

This agreement is between you ("Contributor") and Splitbag Technology ("Splitbag"). It governs every engagement you accept on Splitbag, together with the Terms of Service, the Acceptable Use Policy and the engagement terms sheet generated from each offer. The terms sheet states the commission percentage, term, cap, seats, slice rule, attribution window and any exit kicker for that engagement. You accept this agreement in the app, and we record the time and IP address of acceptance.

2. Eligibility

At launch, contributors must be 18 or older and reside in the United States. You must complete Stripe Express onboarding, including identity and tax identification details, to be paid.

3. Independent contractor

You are an independent contractor. You are not an employee, partner or joint venturer of Splitbag or any builder. You decide how, when and where you do your work and you pay your own taxes and expenses.

4. No authority to bind or negotiate

You have no authority to negotiate price, grant discounts other than codes the builder created, make promises about a product, or conclude contracts on behalf of a builder or Splitbag. You refer people to the builder's checkout. Customers contract with the builder, not with you.

5. What you earn

Your compensation is a commission on revenue that Splitbag attributes to your work under the offer's slice rule, calculated on the net amount the builder actually receives, at the percentage in the terms sheet, subject to the cap and term. There is no payment for a share of the business, and no equity.

Your interest is non-transferable and tied to your work. You may not sell, assign, pledge or transfer it, and it ends when the engagement ends or when the work it depends on ends, subject to commissions already earned. Nothing here promises income, returns or any minimum. Revenue depends on the product and your own effort.

6. Splitbag as your agent

You appoint Splitbag as your agent to receive commissions owed to you by the builder. A builder's payment of a commission to Splitbag discharges the builder's debt to you for that amount. Splitbag holds money only as needed to settle the builder's debit and your payout, earns no interest or float, and pays you from settled funds.

7. Earned, due and payment windows

A commission is earned when its hold ends and the statement that includes it closes. The hold equals the product's own refund window, which the builder sets per product and which is shown to you on the offer. A commission is due when the builder's funds for it have settled.

Statements close monthly on the 1st at 00:00 UTC. When an engagement ends, Splitbag closes a final statement within 7 days. We pay within the statutory windows that apply to you, including the New Jersey rule of 30 days after termination and the New York rule of 5 business days after a commission is due. Nothing in this agreement limits rights you have under those laws. Payouts below the payout minimum, 10,000 cents ($100) unless the product settings say otherwise, roll forward to the next statement.

8. Refunds, disputes and negative balances

If a charge is refunded or disputed, the commission on it reverses proportionally on your next statement, for as long as that charge can be disputed. If an ACH debit of the builder fails after you were paid, the resulting negative balance is netted against your future commissions, and we may re-debit the builder. You will repay any remaining negative balance that is due to Splitbag if your account ends before it is recovered.

9. Costs and taxes

Splitbag charges contributors nothing. Stripe's own processing and payout costs pass through at cost and, where they apply to your payouts, appear as their own line on your statement. You are responsible for your taxes. Splitbag files Form 1099-NEC for US contributors paid $600 or more in a calendar year through Stripe's 1099 service, using the taxpayer identification number you provide in Stripe Express.

10. Disclosure duty

Every tracked link carries disclosure text. You must disclose your commission relationship clearly and conspicuously, in the same medium as your promotion and close to the claim, as required by the FTC Endorsement Guides (16 CFR 255). Do not make claims about a product you cannot substantiate.

11. Prohibited conduct

You will not self-refer, create fake accounts or conversions, stuff cookies, bid on the product's name or brand, leak or publish codes to coupon sites, offer rebates from your commission without the builder's written permission, or manipulate attribution data. Risky deals may be held, rejected or reversed. Serious violations may lead to loss of unpaid commissions on the affected deals and termination.

12. Non-circumvention

For engagements that began on Splitbag, you will not move the relationship with that builder off Splitbag to avoid the commission arrangement for the non-circumvention period stated in the engagement terms sheet. Verified results accrue to your Splitbag profile only for deals paid through Splitbag.

13. Fee reservation

Splitbag may introduce a percentage fee on commissions for engagements created after a notice date. Engagements created before that date keep their existing terms for their full term.

14. Privacy and confidentiality

You may see aggregate deal data, never customer identities. You will keep confidential any non-public information a builder shares with you and use it only for the engagement.

15. Term and ending an engagement

An engagement runs for the term in its terms sheet unless ended earlier by you, the builder or Splitbag under this agreement. Ending does not cancel commissions already earned or owed. Commissions on charges that fall after the end are governed by the terms sheet and the slice rule.

16. Liability and disputes

The limits in the Terms of Service apply. Governing law and dispute resolution follow the Terms of Service and are to be finalized before launch. Contact us first at [email protected] to resolve issues informally.

17. Changes

We will give notice of material changes to this agreement. Changes do not alter the terms sheet of an existing engagement without your acceptance.
